(“KO Yoga”)

(“Artist”)
Together, referred to as the “Parties.”
1. Purpose & Intent
This Agreement establishes a collaborative partnership between KO Yoga and the Artist for the promotion, sale, and licensing of original artwork and related products. The collaboration is intended to:
- Support the Artist’s creative work and visibility
- Generate earned revenue through art, prints, and merchandise
- Reinvest proceeds into community wellness initiatives supported by KO Yoga
2. Ownership of Artwork
The Artist retains full copyright and ownership of all original artwork and designs (“Artwork”), except for the limited licensing rights granted to KO Yoga under this Agreement.
No transfer of ownership is implied or granted.
3. Artwork & Prints for Sale
The Artist agrees to make selected original artworks and/or prints available for sale through KO Yoga’s channels, including:
- KO Yoga’s Shopify online store
- KO Yoga–managed vendor booths at local markets, pop-ups, or events
Pricing
Pricing will be set collaboratively, with consideration for:
- Artist’s production costs
- Fair market value
- Accessibility and community-focused pricing
4. Revenue Sharing – Original Artwork & Prints
- Gross revenue from the sale of Artwork and prints will be shared as follows:
- 50% to the Artist
- 50% to KO Yoga
- The artist shall be solely responsible for manufacturing and production of such Artwork.
- KO Yoga shall be solely responsible for all costs related to the marketing, sales, fulfillment, and delivery of such merchandise.
- KO Yoga will provide sales reporting and remit payment to the Artist on a quarterly basis.
5. Image Licensing & Merchandise Production
The Artist grants KO Yoga a non-exclusive, royalty-bearing license to use selected digital versions of the Artwork to create merchandise, including but not limited to:
- Apparel (e.g., shirts, hoodies)
- Accessories
- Printed goods
Merchandise Revenue Sharing
- KO Yoga agrees to pay the Artist 25% of gross revenue from all merchandise sales featuring licensed Artwork.
- KO Yoga shall be solely responsible for all costs related to the manufacturing, production, marketing, sales, fulfillment, and delivery of such merchandise.
- Payments to the Artist will be issued on a quarterly basis, accompanied by detailed sales summaries.
6. Artist Involvement & Brand Integrity
- The Artist will be consulted on the final selection of merchandise items to ensure alignment with their artistic identity and brand values.
- KO Yoga agrees not to materially alter the Artwork without the Artist’s written approval.
- This collaboration is intended to respect and protect the Artist’s creative voice and reputation.
7. KO Yoga Responsibilities
KO Yoga agrees to:
- Upload and manage product listings (images, descriptions, pricing) on its Shopify store
- Cover advertising and promotional costs
- Promote the Artist through:
- Social media and digital marketing
- Website features
- Market booth signage and displays
- Manage sales, fulfillment, customer service, and vendor booths
8. Attribution & Promotion
KO Yoga will provide clear and visible attribution to the Artist:
- On product listings
- At vendor booths
- In promotional materials where reasonable
9. Inventory Handling & Storage
- Artwork and prints may be stored by either Party as agreed.
- Each Party is responsible for reasonable care of any inventory in their possession.
- Loss or damage due to negligence will be the responsibility of the Party holding the inventory at the time.
10. Exclusivity
Unless otherwise agreed in writing:
- This Agreement is non-exclusive
- The Artist remains free to sell their Artwork independently or through other channels
11. Term & Termination
- This Agreement begins on the Effective Date and continues until terminated.
- Either Party may terminate the Agreement with 30 days’ written notice.
Upon Termination:
- KO Yoga may sell remaining inventory during a reasonable wind-down period
- No new merchandise using the Artwork will be produced
- All outstanding payments will be settled within 30 days
12. Independent Contractor Relationship
Nothing in this Agreement creates an employment, partnership, or joint venture relationship. Both Parties act as independent contractors.
13. Governing Law
This Agreement is governed by the laws of the Province of Ontario, and applicable federal laws of Canada.
14. Entire Agreement
This document constitutes the entire agreement between the Parties. Any amendments must be made in writing and signed by both Parties.
